HostDelegate provides a local-contact compliance service for short-term rental ("STR") owners. Our service consists of:
HostDelegate is not a property manager and does not provide property-management services. Without limitation, we do not: market or list properties; take, manage, or communicate about bookings or reservations; communicate with guests on the owner's behalf as a host; set or manage pricing, calendars, or availability; perform cleaning, turnovers, maintenance, or repairs; or manage the day-to-day operation of any property. The owner retains full control of and responsibility for operating and self-managing the property.
HostDelegate is not an emergency-response, security, or life-safety service. The 24/7 line is a communication and coordination service operated according to the owner's instructions. It is not a substitute for emergency services. In any emergency involving danger to persons or property, you and anyone at the property should contact 911 or the appropriate emergency authorities directly. We do not guarantee any particular response time or outcome.
HostDelegate does not provide legal, tax, insurance, or regulatory advice. Information on the Site and in our materials is general information, not advice, and regulations change and vary by property. You are responsible for confirming and meeting the requirements that apply to your property.
We provide services designed to help owners meet a local-contact requirement, but we do not guarantee that engaging us will satisfy any specific law, permit condition, or regulator, or that you will avoid fines, penalties, permit denial, suspension, or revocation. Regulatory requirements differ by jurisdiction and change over time, and some depend on facts specific to your property or conduct that are outside our control. You remain solely responsible for your own permit, its accuracy, its renewal, and your compliance with all applicable laws.
You must be at least 18 years old and able to form a binding contract to use our services. By using the services, you represent that you meet these requirements and that any information you provide is accurate.

Fees. The fees for the services are those presented to you when you sign up and as described on our pricing page at hostdelegate.com/pricing. Your order or sign-up confirmation, together with these Terms, forms your agreement on price. We intentionally do not list specific fee amounts in these Terms, so that current pricing lives in one place; the pricing in effect when you subscribe — and any change made on notice under this section — governs your account.
Subscription and billing. The core service is offered on a recurring subscription basis, billed in advance for each billing period (for example, monthly or annually) according to the plan you select, per property. Unless you cancel as permitted, your subscription automatically renews at the end of each billing period, and you authorize us to charge your payment method on file for each renewal.
On-site and dispatch charges. Where a situation requires our vetted contractor to be physically present at your property, that on-site time is billed separately, at the then-current rates shown at sign-up and on our pricing page, in addition to your subscription. We will notify you before on-site fees are charged. Vendors you have pre-arranged bill you directly under your own arrangements with them; those charges are not part of our fees.
Payment method on file. You authorize us to keep a valid payment method on file and to charge it for subscription fees and any on-site charges you incur. You are responsible for keeping your payment information current. If a charge fails, we may retry it and may suspend the services until payment is resolved.
Taxes. Fees are exclusive of any applicable taxes, for which you are responsible where required.
Changes to pricing. We may change our fees on prospective notice. Changes take effect at your next billing period following the notice; continuing to use the services after that constitutes acceptance of the updated fees.
Refunds. Except as required by law or as expressly stated at sign-up, fees are non-refundable.
We use third-party providers to operate the service (for example, telephony and answering providers) and may coordinate with vendors you have pre-arranged. We are not responsible for the acts, omissions, pricing, or work quality of vendors you select and direct us to contact.
Where a situation requires a physical presence at your property, we may dispatch an independent contractor to respond according to your instructions. Dispatched contractors provide a local presence and coordination; they do not assume management of your property, and their role is limited to what the situation and your instructions call for. We use reasonable care in selecting and vetting contractors but do not guarantee their availability, response time, or the outcome of any response.
Contractors engaged by HostDelegate are independent contractors, not our employees, and not employees or agents of any customer. Nothing in these Terms or in our operations creates an employment, partnership, joint-venture, or agency relationship beyond the limited agent-of-record role expressly described. HostDelegate does not control the manner and means by which independent contractors perform, beyond specifying the outcome required by a given situation and the customer's instructions.
The Site and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or services will be uninterrupted, error-free, or secure, that any particular result will be achieved, or that the service will satisfy any regulatory requirement.
To the fullest extent permitted by law, HostDelegate and its members, managers, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Site or services. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the services will not exceed the amount you paid us for the services in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless HostDelegate and its members, managers, and personnel from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the services, your property and its operation, your violation of these Terms, or your violation of any law or the rights of any third party.
Either party may terminate the service as described at sign-up or on reasonable notice. We may suspend or terminate access if you violate these Terms or if required to protect the service, our customers, or others. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution first. Before starting any formal proceeding, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days.
Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the services will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. Arbitration may be conducted remotely or in the customer's home region.
Class-action waiver. Disputes will be arbitrated only on an individual basis; you and HostDelegate waive any right to bring or participate in a class, collective, or representative action.
Small-claims carve-out. Either party may bring an individual claim in small-claims court if it qualifies.
We may update these Terms from time to time. We will post the updated version here with a new effective date, and material changes will take effect as described in the notice we provide. Your continued use after an update constitutes acceptance of the updated Terms.
